$6BN ACQUISITION INTEGRATION
- DD Consulting planned and implemented all aspects of this $6bn merger across 30 European countries.
- Over the period of 2 years we set up, moved through and successfully (determined by the city) delivered a full integration across all aspects of the business.
- Managed the $101m programme spend with 160 sub-projects, 6 programme managers and 45-project managers, across all internal and external processes including: sales & marketing restructure, IT migration, EPR migrations, back office merge followed by outsourcing, legal entity restructuring, supply chain consolidation & office moves.
- Post merger integration assurance across 30 countries delivered $41m of savings.
- Business cases & DCF for projects and ensured correct P&L and cash flow management for the 3 years of the merger.
GLOBAL SEPARATION
- DD Consulting setup and managed the global separation of a leading technology / media company from the US parent company for the majority sale to a Private Equity led consortium.
- Ran the separation programme with 30 internal and 20 external staff, across all countries and business areas, from announcement through the TSA period.
- Separation included intensive pre-close planning and preparation across 10 work streams, contract novation, tax, treasury and insurance function setup, Day 1 checklist activities, communications, etc.
- Post-close activities were rolled into 30+ specific projects, including new Finance ERP system, comprehensive new HR systems, business area build-out in previously integrated departments, BoD setup, equity management, IT infrastructure separation, email, security, multiple office moves, etc.
M&A TRAINING COURSE
- A leading Telecom company in the middle of a $13.4bn merger asked London Business School for an expert in Post Merger Integration. Danny A Davis was introduced as one of the leading experts in this area.
- DD Consulting delivered a Post Merger Integration workshop to the CIS regional CEO and 30 internal CEOs and country heads.
- Training focused on M&A integration principles and practices.
POST MERGER INTERGATION
- £400m acquisition for a £1.6bn company.
- We created an integration plan for the back office (shares services) part of the finance function, followed by a full plan for this area to integrate this newly acquired company along with retrospectively integrating 6 previous acquisitions that had not been fully integrated.
- We were then asked to plan the integration across the whole business for HR, IT and all aspects of finance. Followed by the mobilisation of this plan and moving through the first stages of integration before handing off to internal resource.
MARKETING & COMMS INTEGRATION
- Part of the planning and delivery team of 15 to run a three way merger creating a new $1.5bn turnover entity across 60 countries.
- We planned the marketing aspects across Europe for the merger and then implemented these during the course of the change.
- We planned and implemented the global communications strategy for the internal audience.
MAJOR HR TRANSFORMATION
- Sat on the programme board of a $525m spend HR Transformation programme.
- Delivered the HR Transformation programme to the corporate and functions – 25 functions globally with 12,500 people.
- These functions included HR, IT, finance, M&A, sales and marketing, distribution, manufacturing, technology, health safety security environment, communications, investor relations, strategy, panning, legal, property.
- The aim of the programme was to review, plan and change all aspects of HR and how it affects the organisation globally (across 120 countries and 110,000 employees through all businesses of a $300bn turnover company).
